1. Agreement to Terms

2. Services

CodeStack Studio provides web design, development, and digital services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for project completion
  • Respond promptly to requests for feedback, approvals, and information
  • Make timely payments as agreed in the project contract
  • Respect intellectual property rights and not use our work for unauthorized purposes
  • Not engage in any activity that may harm our reputation or business

4. Payment Terms

4.1 Payment Schedule

Payment terms will be specified in your project contract. Typically, we require:

  • An initial deposit (usually 50% of total project cost) to begin work
  • Final payment upon project completion and delivery

4.2 Late Payments

Late payments may result in project delays or suspension of services. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month.

4.3 Refunds

Refund policies will be specified in your project contract. Generally, deposits are non-refundable once work has commenced. Refunds for completed work are not provided unless otherwise specified in writing.

5. Intellectual Property

5.1 Client Content

You retain ownership of all content, materials, and intellectual property you provide to us. By providing such content, you grant us a license to use it solely for the purpose of completing your project.

5.2 Our Work

Upon full payment, you will receive ownership rights to the final deliverables as specified in your project contract. We retain the right to use completed projects in our portfolio and for marketing purposes unless otherwise agreed in writing.

5.3 Third-Party Materials

If your project includes third-party materials (fonts, images, plugins, etc.), you are responsible for obtaining appropriate licenses. We are not liable for any issues arising from unlicensed third-party materials.

6. Project Timeline and Delays

Project timelines are estimates and may be affected by factors beyond our control, including but not limited to:

  • Client delays in providing feedback or approvals
  • Changes to project scope
  • Technical issues or third-party service disruptions
  • Force majeure events

We will communicate any significant delays and work with you to adjust timelines as needed.

7. Revisions and Changes

The number of revisions included in your project will be specified in your contract. Additional revisions beyond the agreed scope may incur additional charges. Significant changes to project scope may require a new contract and additional fees.

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However, we make no warranties regarding:

  • Uninterrupted or error-free operation of delivered products
  • Compatibility with all devices, browsers, or third-party services
  • Results or outcomes from using our services

Our services are provided "as is" without warranties of any kind, either express or implied.

9. Limitation of Liability

To the maximum extent permitted by law, CodeStack Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use our services
  • Any unauthorized access to or use of our servers or data
  • Any errors or omissions in our services
  • Any interruption or cessation of our services

Our total liability shall not exceed the total amount paid by you for the specific project in question.

10. Confidentiality

We agree to keep confidential all proprietary information, trade secrets, and business information disclosed by you during the course of our engagement, except as required by law or with your written consent.

11. Termination

Either party may terminate a project contract with written notice. Upon termination:

  • You will pay for all work completed up to the termination date
  • We will deliver all completed work to you
  • Each party's rights and obligations will survive termination as necessary

12. Dispute Resolution

Any disputes arising from these Terms or our services shall first be addressed through good faith negotiations. If a resolution cannot be reached, disputes shall be resolved through binding arbitration in accordance with the laws of Malaysia, or through the courts of Malaysia if arbitration is not applicable.

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. We will notify you of any material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the new terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
